  3. LockDown Corp LICENSE AND LIMITED WARRANTY

  5. This legal document is an agreement between you ("Licensee") and
  6. LockDown Corp.
  7.  
  8. In consideration of your payment of the license fee and your agreement
  9. to abide by the terms of this agreement, LockDown Corp agrees to grant
  10. AND you agree to accept on the following terms and conditions, a
  11. personal non-transferable and non-exclusive limited license to use the
  12. Licensed software and online help manual. You assume the responsibility
  13. for the selection of the program  to achieve your intended results, and
  14. for the installation, use and results obtained.

  16. LICENSE AUTHORIZATION
  17.  
  18. This license authorizes for use of the LockDown 2000
  19. Software on a SINGLE machine. Discounts are applied 
  20. for additional licenses.
  21.  
  22. TRANSFER RESTRICTIONS
  23.  
  24. This Software is licensed only to person or company that
  25. purchases the original license and may not be transferred.
  26. Should you ever discarded the original computer or change the
  27. motherboard or CPU, you are permitted to use the same license 
  28. codes on the new or upgraded computer.  This is providing that 
  29. the software was fully un installed from the old computer.
  30. LockDown Corp. reserves the right to auto detect and expire 
  31. un-authorized license codes on offending computers.

  34. OWNERSHIP OF SOFTWARE
  35.  
  36. Title to the Software will at all times remain with LockDown Corp.  
  37. You may not modify, adapt, translate, reverse engineer, decompile or
  38. disassemble the Software.
  39.  
  40. COPY RESTRICTIONS
  41.  
  42. This software and the accompanying written materials are copyrights.
  43. Unauthorized copying of the Software or written materials is expressly
  44. forbidden.  You will be held legally responsible for any copyright
  45. infringement which is caused or encouraged by your failure to abide by
  46. the terms of this agreement.

  48. USE RESTRICTIONS
  49.  
  50. The Licensee is obtaining limited rights to use the LockDown 2000
  51. software.  The Licensee is licensed to use LockDown 2000 on a single
  52. personal computer.  Site licenses are available for individuals or
  53. organizations with multiple installation requirements.  You may not
  54. adopt, translate, or create derivative works based on the written
  55. materials without prior written consent of LockDown Corp.
  56.  
  57. TERM OF LICENSE
  58.  
  59. This License is effective until terminated. This license will terminate
  60. immediately without notice from LockDown Corp if you fail to comply 
  61. with any provision of this license.  Upon termination, you must destroy 
  62. the Software, the written materials, and all copies.  You may terminate 
  63. the license at any time by destroying the Software, the written 
  64. materials, and all copies.

  66. UPDATE POLICY
  67.  
  68. LockDown Corp may create, from time to time, updated versions of the
  69. Software.  LockDown Corp will make such updates available to all
  70. clients. Clients will be automatically updated by use of an update 
  71. icon on the LockDown 2000 menu free of charge.
  72.  
  73. LIMITED WARRANTY
  74.  
  75. LockDown Corp warrants that the Software will perform substantially in
  76. accordance with the accompanying written materials for a period of
  77. thirty (30) days from the date of receipt.  LockDown Corp does not
  78. warrant, guarantee or make any representation regarding the use, of the
  79. Software or written materials in terms of correctness, accuracy,
  80. reliability, currency, or otherwise.  The entire risk, as to the 
  81. results and performance of the Software, is assumed by you.

  83. LockDown Corp's entire liability and your exclusive remedy shall be 
  84. the replacement of any diskette(s) or CD's found to be defective and 
  85. returned by you, the Original Registered licensee, within thirty 
  86. (30) days from the date of purchase prepaid with a copy of the 
  87. receipt of purchase.

  89. The above is the only warranty of any kind, either express or implied,
  90. statutory or otherwise, including but not limited to the implied
  91. warranties of merchantability and fitness for a particular purpose that
  92. is made by LockDown Corp on the Software.  No oral or written
  93. information or advice given by LockDown Corp, its dealers, distributors,
  94. agents, or employees shall create a warranty or in any way increase the
  95. scope of this warranty and you may not rely on any such information or
  96. advice.

  98. Neither LockDown Corp nor anyone else who has been involved in the
  99. creation, production, or delivery of the product shall be liable for 
  100. any direct, indirect, consequential, or incidental damages (including
  101. damages for loss of business profits, business interruption, loss of
  102. business information, loss of health or any loss whatsoever) arising 
  103. out of the use or inability to use such product, even if LockDown 
  104. Corp has been advised of the possibility of such damages.
  105. This warranty gives you specific rights.  You may have other rights
  106. which vary by state, and certain limitations contained in the limited
  107. warranty that may not apply to you.
  108.  
  109. This agreement shall be governed by the laws of the state of New
  110. Hampshire.
